1. Introduction

(a) Web Site Owner

EcoAscend LLC dba Nells ("Nells") is the owner of the website located at shopnells.com (the "Nells Web Site"). Nells can be contacted by mail at [Insert Mailing Address], by phone at [Insert Phone Number], or by e-mail at [Insert Email Address]. This online privacy notice discloses Nells's information practices for the Nells Web Site, including what type of personally identifiable information is requested in order to make a purchase, how the information is used, and with whom the information is shared. Other websites operated by Nells or its affiliates may be governed by privacy notices containing different information practices applicable to those sites.

(b) Anonymous Web Site Visits

In general, you can visit the Nells Web Site without disclosing any personal information. Nells does keep track of the domains from which people visit the Nells Web Site. Nells analyzes the data gathered from Web Site visits for trends and statistics, and this aggregated data does not identify individual visitors.

(c) Web Site Transactions

At times, Nells will need personal information regarding a customer or a prospect. For example, to process an order or provide a subscription, Nells may need to know a customer's name, mailing address, e-mail address, and payment details. It is Nells's intent to inform you before Nells collects personal information, such as a user's name and/or address, over the Internet. If you tell us that you do not wish to have this information used as a basis for further contact with you, Nells will respect your wishes.

(d) Third Party Certification

Nells is not currently a member of a third-party privacy certification program. If Nells joins such a program in the future, or otherwise adopts a cross-border data transfer framework, this notice will be updated accordingly.

2. Personal Information That May Be Collected

(a) Identifying Information

In order to make a purchase or to access designated subscriber services and/or restricted areas within the Nells Web Site, Nells will request a user to provide certain personal identifying information, which may include: legal name, postal address, e-mail address, screen name, password, daytime telephone number, method of payment, and, if applicable, credit or debit card number. Nells may request additional information necessary to establish and maintain a customer's account.

(b) Service Quality Monitoring

Some Web Site transactions may require a customer to telephone Nells, or Nells to call the customer. Nells will not contact you by telephone without your prior consent, except to confirm an order placed online and/or to inform a customer of the status of such order. Customers should be aware that it is Nells's practice to monitor, and in some cases record, such calls for staff training or quality assurance purposes.

(c) Information from Children

Nells does not sell products or services for purchase by children and will not knowingly collect or post information from a child under the age of 18 without the involvement of a parent or guardian. If Nells becomes aware that a child under 18 has registered on the Web Site, Nells will notify the child's parent or guardian at the e-mail address provided by the prospective customer, alerting the parent or guardian to the child's use of the Web Site and providing instructions as to how the parent or guardian can delete the child's registration from the Web Site. Nells does not use personally identifying information collected from children for marketing or promotional purposes, and does not disclose such information to any third party for any purpose whatsoever.

(d) Lost or Stolen Information

If a customer's payment card and/or password is lost or stolen, the customer should promptly notify Nells in order to enable Nells to cancel the lost or stolen information and to update its records with a changed payment card and/or password.

(e) Chat Rooms, Forums, and Bulletin Boards

If a customer participates in a Nells chat room, discussion forum, or posts messages to a Nells bulletin board, the customer should be aware that the information disclosed and shared will be broadly available to other persons, both inside and outside Nells, who have access to that chat room, forum, or bulletin board. Some individual chat rooms, forums, or bulletin boards may have additional rules and conditions regarding participation. A participant's expressed opinion is his or her own and should not be considered as reflecting the opinion of Nells.

(f) Links to Other Web Sites

The Nells Web Site may contain links to other websites. Nells is not responsible for the privacy practices or the content of those other websites.

3. Uses Made of the Information

(a) Limited Uses Identified

Without a customer's prior consent, Nells will not use personal identifying information for any purpose other than that for which it was submitted. Nells uses personal identifying information to reply to inquiries, handle complaints, provide operational notices, and for program record-keeping. Nells also processes billing and business requests related to participation on the Nells Web Site.

(b) Marketing Uses

Unless a customer opts out as described below, Nells reserves the right to provide customers with information about the Nells Web Site, Nells products and services, and related information in which the customer has indicated an interest.

(c) Stored Information Uses

Nells stores and retains the information provided by a customer or entered on the Nells Web Site. This information is used to compile a customer's purchase history in order to enable Nells to recommend products, services, or special offers that would be of interest to the customer, to support customer interaction with the Nells Web Site, to deliver customer purchases, and to contact the customer about other Nells services and products.

(d) Online Advertising

Some companies that help Nells deliver interactive online advertising, such as banner ads, may collect and use information about Nells's customers to help Nells better understand the types of advertising or promotions that are most appealing to its customers. After collection, such information is aggregated so that it is not identifiable to a specific individual. If a customer would prefer that these companies not collect such information, the customer may opt out using the contact information in Section 7(b) below.

4. Disclosure of the Information

(a) Within Corporate Organization

Nells may share your personal information within its corporate organization and, where applicable, with affiliated entities, and may transfer such information to countries in which Nells conducts business. Some countries may provide less legal protection for personal information than the customer's home jurisdiction. In such countries, Nells will still handle customer personal information in the manner described in this notice.

(b) Mergers and Acquisitions

Circumstances may arise where, for business reasons, Nells decides to sell, buy, merge, or otherwise reorganize its business. Such a transaction may involve the disclosure of personal identifying information to prospective or actual purchasers, and/or receiving such information from sellers. It is Nells's practice to seek appropriate protection for information in these types of transactions.

(c) Agents

Nells employs or engages other companies and individuals to perform business functions on its behalf. These persons are provided with the personal identifying information required to perform their functions but are prohibited by contract from using the information for other purposes. These functions include, but are not limited to, fulfilling orders, delivering packages, removing repetitive information from customer lists, analyzing data, providing marketing assistance, processing payments, and providing customer service.

(d) Affiliated Businesses

Nells may work with affiliated businesses operating websites, providing services, or selling products in connection with the Nells Web Site. These businesses identify themselves to customers. Customer information related to a transaction with an affiliated business is shared with that affiliated business.

(e) Marketing Analysis by Third Parties

Nells reserves the right to disclose to third parties personal information about customers for marketing analysis; however, any information disclosed will be in the form of aggregate data that does not describe or identify an individual customer.

(f) Disclosure to Governmental Authorities

Under certain circumstances, personal information may be subject to disclosure pursuant to a judicial or other governmental subpoena, warrant, or order.

5. Use of Computer Tracking Technologies

(a) No Tracking of Personal Information

The Nells Web Site is not set up to track, collect, or distribute personal information not entered by visitors. Through web site access logs, Nells does collect clickstream data and HTTP protocol elements, which generate certain kinds of non-identifying site usage data, such as the number of hits and visits to the site. This information is used for internal purposes by technical support staff for research and development, user analysis, and business decision-making, all of which help Nells provide better service to the public. The statistics gathered, which contain no personal information and cannot be used to identify an individual, may also be provided to third parties.

(b) Use of Cookies

Nells, or its third-party vendors, collects non-identifiable and personal information through the use of various technologies, including "cookies." A cookie is an alphanumeric identifier that a website can transfer to a customer's device through the customer's browser. The cookie is then stored on the customer's device as an anonymous tag that identifies the customer's device, but not the customer personally. Cookies may be sent by Nells or its third-party vendors. Customers can set their browser to notify them before a cookie is received, giving them the opportunity to decide whether to accept the cookie. Customers may also set their browser to turn off cookies; however, some parts of the Web Site may not then work properly.

(c) Use of Web Beacon Technologies

Nells may also use web beacons or similar technologies to better tailor its Web Site to provide better customer service. When these technologies are in use, a visit to a page generates a non-identifiable notice of that visit, which may be processed by Nells or its suppliers. Web beacons usually work in conjunction with cookies. If a customer does not want cookie information to be associated with visits to these pages, the customer can set the browser to turn off cookies; however, web beacon technology will still detect visits to these pages, though the notices generated cannot be associated with other non-identifiable cookie information and are disregarded.

(d) Collection of Non-Identifiable Information

Nells may collect non-identifiable information from user visits to the Nells Web Site in order to provide better customer service, including traffic analysis (such as tracking the domains from which users visit, or tracking the number of visitors), measuring visitor activity, Web Site and system administration, user analysis, and business decision-making. This information is sometimes known as "clickstream data." Nells or its contractors may use this data to analyze trends and statistics.

(e) Collection of Personal Information

Nells collects personal identifying information from customers during a transaction. Nells may extract some personally identifying information about that transaction in a non-identifiable format and combine it with other non-identifiable information, such as clickstream data. This information is used and analyzed only at an aggregate level (not at an individual level) to help Nells understand trends and patterns, and is not reviewed at an individual level.

6. Information Security

(a) Commitment to Online Security

Nells employs physical, electronic, and managerial procedures to safeguard the security and integrity of personal information. Billing and payment data is encrypted whenever transmitted or received online. Personal information is accessible only to staff designated to handle online requests or complaints. All Nells agents and contractors with access to personal information on the Nells Web Site are also bound to adhere to Nells's security standards.

(b) No Liability for Acts of Third Parties

Nells will exercise all reasonable efforts to safeguard the confidentiality of customer personal information. However, transmissions protected by industry-standard security technology and implemented by human beings cannot be made absolutely secure. Consequently, Nells shall not be liable for unauthorized disclosure of personal information due to no fault of Nells, including, but not limited to, errors in transmission and unauthorized acts of Nells staff and/or third parties.

7. Privacy Policy Changes and Opt-Out Rights

(a) Changes to Privacy Policy

This privacy notice was last updated on 7/8/2026. Nells reserves the right to change or update its privacy policy statement at any time. Notice of any material change will be prominently posted on the Nells Web Site home page for thirty (30) days prior to the implementation of such change. Continued use of the Nells Web Site following such notice constitutes acceptance of the updated privacy policy.

(b) Opt-Out Right

A customer or prospective customer has the right at any time to cease permitting personal information to be collected, used, or disclosed by Nells and/or by any third parties with whom Nells has shared or transferred such personal information. This right may be exercised by contacting Nells via e-mail at  info@shopnells.com, by telephone at [Insert Phone Number], or by certified postal mail at 1920 E Washington Lane, Philadelphia PA 19138.. After processing the cancellation, Nells will delete the customer's or prospective customer's personal information from its database, except where retention is required by law.

8. Access Rights to Data

(a) Information Maintained by Nells

(b) Corrections and Changes to Personal Information

Help Nells keep customer personal information accurate. If a customer's personal information changes, or if a customer notes an error upon review of the information Nells has on file, please promptly e-mail Nells at [Insert Email Address] and provide the new or corrected information.

(c) Your California Privacy Rights

California Civil Code Section 1798.83 permits customers of Nells who are California residents to request certain information regarding Nells's disclosure of personal information for third-party direct marketing purposes. Within thirty (30) days of receiving such a request, Nells will provide a list of the categories of personal information disclosed to third parties for third-party direct marketing purposes during the immediately preceding calendar year, along with the names and addresses of those third parties. (b) Terms of Use

If a customer chooses to enter into a purchase order or to subscribe to Nells's services, that action is deemed acceptance of the Nells practices described in this policy statement. Any dispute over privacy between the customer and Nells is subject to the provisions of this notice and to Nells's Terms of Use Agreement, which is incorporated herein by reference and can be read at www.shopnells.com
